Catena publishes information brochure and update on the acquisition of Brinova Logistik AB
Catena AB (publ) is today publishing an information brochure on the conditional agreement that has been entered into with Brinova Fastigheter AB concerning the acquisition of Brinova Logistik AB, in accordance with the press release issued on 20 August.
After the transaction was announced, external credit providers have given their consent and the due diligence review has been completed, which have not given rise to the need to adjust the commercial content of the transaction. The only condition remaining for completion of the transaction is that at the extraordinary general meeting convened for 23 September, Catena’s shareholders pass a resolution regarding a private placement to Brinova Fastigheter AB, thus permitting finalisation of financing of the transaction.
Other information in the brochure includes the fact that the loans that Catena will assume as a result of the acquisition will amount to approximately SEK 2,654 M. For the loans, the average tenors for tied-up capital and fixed interest were 2.1 years and 3.1 years, respectively. The current average rate of interest is about 3.2 per cent, including costs for derivative instruments.
